Pure Casino secures court approval for Gamehost acquisition

Gamehost has secured final approval from the Court of King’s Bench of Alberta for its acquisition by Pure Casino Entertainment. Under the agreement, a subsidiary of Pure will acquire all outstanding Gamehost shares for C$13.65 in cash per share. The transaction is expected to close before the end of June, subject to remaining regulatory approvals and customary conditions.

Pure Casino Entertainment is owned by Indigenous Gaming Partners, a partnership formed in 2024 between five Nova Scotia First Nations and Sonco Gaming. Gamehost shareholders approved the transaction at a special meeting on June 11. The deal received support from 97.78 per cent of votes cast, including 97.35 per cent of votes submitted by minority shareholders. The agreed price represents a premium of approximately 16 per cent to Gamehost’s closing share price immediately before the transaction was announced in March.

Gamehost owns and operates Deerfoot Inn & Casino in Calgary, Great Northern Casino in Grande Prairie and Rivers Casino and Entertainment Centre in Fort McMurray. Its portfolio also includes the Service Plus Inns & Suites and Encore Suites by Service Plus extended-stay hotel in Grande Prairie.

IGP already controls four Alberta casinos through its acquisition of Pure Canadian Gaming in 2024. Completion of the Gamehost transaction will expand its provincial portfolio to seven casinos and two hotels. In a connected sale-and-leaseback transaction, VICI Properties has agreed to acquire certain Gamehost real-estate assets for C$200.6m. The properties will be added to VICI’s existing triple-net master lease with Pure.

IGP said the acquisition would support its strategy of developing a portfolio of market-leading casino properties through strategic investment and operational growth. The five First Nations participating in IGP are Glooscap First Nation, Annapolis Valley First Nation, Millbrook First Nation, We’koqma’q First Nation and Paqtnkek Mi’kmaw Nation.
