BetMakers confirms failed Tabcorp M&A discussions

BetMakers has confirmed that Australia-based operator Tabcorp entered into discussions with the supplier with a view to acquiring the business.

An article published in the Australian Financial Review (AFR) yesterday, 11 February, suggested the two companies had initiated talks over a potential deal.

The ASX-listed supplier has since confirmed both parties engaged in conversation over the subject, although no definitive agreement was reached.

BetMakers said Tabcorp did not table a “formal offer” and, subsequently, negotiations over any deal have ceased. No financials were disclosed in either BetMakers’ statement or the AFR report.

BetMakers attested the two firms maintain an “ongoing commercial relationship” despite the breakdown in talks.

A BetMakers statement read: “BetMakers maintains an ongoing commercial relationship with Tabcorp, supplying wagering technology and content distribution services in support of Tabcorp’s racing and media operations.

“BetMakers confirms it was approached by Tabcorp and that preliminary and informal discussions have taken place regarding a potential change of control transaction.

“While those discussions were at an early stage and highlighted opportunities for BetMakers’ wagering technology products, no formal offer was received and discussions have ceased.”

The talks come almost five years after BetMakers launched an ambitious bid to acquire Tabcorp’s wagering and media arm in May 2021.

The supplier submitted a deal worth A$1bn in cash and A$3bn in BetMakers’ stock.

The deal did not come to fruition, with Tabcorp instead electing to divest its lottery and keno division and retain its wagering and media arm.

Tabcorp reported revenue of A$2.6bn (£1.4bn) for full-year 2025, representing an 11.8% increase year on year.

The operator invested A$33m into fellow operator Dabble in October 2022 as it looked to expand its portfolio.

Tabcorp praised that investment in August 2025 after Dabble reported FY 2025 revenue of A$274m.

In July, BetMakers raised A$13.7m through the completion of its share purchase plan, with the capital earmarked for repaying outstanding debt.

At the start of 2025, the supplier completed the acquisition of intellectual property and software from Protocol Zone Limited in a A$1.5m deal.
