Winvia Entertainment, an operator focused on the UK prize draw market and online gambling arena in Romania, is planning to publicly list on the AIM in London.
Winvia is seeking admission to trade on the AIM, with plans to list in the first week of November, with preparations at an “advanced stage”.
The company is hoping to raise around £40m through the placing of ordinary shares at £0.05 each.
The placing is comprised of brand-new ordinary shares, with no existing shareholders selling in the process.
The £40m would then be used to act on the “roll up opportunity in the UK prize draw market” and enhance brand equity and awareness.
For the year ending 31 December 2024, Winvia reported gross revenue of £153.2m, up from £93m in 2023.
Gross profit jumped from £45.5m to £75.5m, leaving a pre-tax profit of £7m last year.
In the prize draw business, new user registrations came to around 763,000 in H1 2025, with 595,000 first-time players.
That has increased from 328,000 registrations and 200,000 first-time players in 2022.
Bosses have said the existing prize draw market, which includes operators such as Omaze, is “highly fragmented”.
Winvia added that there is a “strong pipeline of potentially attractive M&A prospects” in the market, due to legacy platforms and an inability for operators to scale at pace.
Winvia operates Best of the Best and Click Competitions, which it recently acquired.
Looking at the online gambling arm in Romania, new user registrations reached one million in the first six months of 2025, with first-time depositors hitting 200,000.
Winvia runs Luck.com, Royal Slots and Princess Casino in Romania, as well as a host of white-label operations.
The aim for the business is to have its prize draw arm as its dominant division, with the listing and sustainable growth in Romania able to fund inorganic growth.
The business is run by CEO Mihai Manoila and former Deloitte and BDO head David Perry as CFO.
Non-executive chair Joanne Bucci previously served as MD of the People’s Postcode Lottery and was chair of the Lotteries Council.
Manoila said the intention to list on AIM was an “exciting milestone” for the multi-vertical operator.
The CEO added: “An IPO would allow us to accelerate our growth strategy, specifically on the UK prize draw business where we see significant opportunities, both organic and inorganic, in a fragmented and fast-growing market where we can implement our technology platform.
“We look forward to taking the next steps on this journey and building on the work undertaken so far as we look to build a business with significant scale underpinned by our technology platform.”
